Terms of Service

1. Acceptance of terms

By using vibecodedtools.it (the "Site"), joining the waitlist, or purchasing a paid module, you accept these Terms of Service. If you don't agree, don't use the Site or our products.

These Terms apply alongside the Privacy Policy at /privacy.

2. Description of service

VibeCoded Tools provides: (a) the VibeCoded Orchestrator, open-source software released under AGPL-3.0; (b) the VCT Launcher, also AGPL-3.0; (c) paid modules (Pro, MAO, managed Coordination, Telegram Module) distributed as signed pre-compiled binaries via signed-URL CDN.

Other products listed as "Coming Soon" on the Site are in development and may not be available at the time you join the waitlist.

3. User obligations

You agree not to use our products for unlawful activities, to infringe third-party rights (including IP and privacy rights), or to generate/distribute malicious content (malware, phishing).

For paid modules, the license key is personal and non-transferable. You may not resell, sub-license, or publish the key. You agree to promptly notify us of any theft or unauthorised use.

For AGPL-3.0 software, you agree to comply with the licence terms (including the obligation to release source code of any derivative work distributed or exposed over a network).

4. Licences and intellectual property

The base Orchestrator and VCT Launcher are released under AGPL-3.0-or-later. The full text is in the GitHub repository and applies to all published source code.

Paid modules (Pro, MAO, managed Coordination, Telegram Module) are distributed as signed pre-compiled binaries. No source licence applies to these artifacts since no source is published. The binary use licence permits internal use for the number of seats stated in the order; decompilation, reverse-engineering, and removing anti-piracy protections are prohibited except as allowed by mandatory Italian law (D.Lgs. 518/1992 Art. 64-quater).

VibeCoded Tools, VibeCoded Orchestrator trademarks and logos remain the exclusive property of the project owners.

5. Payments, billing and refunds

Paid-module payments are handled by Lemon Squeezy LLC acting as Merchant of Record for VAT purposes. Billing and collection occur in EUR.

Refund policy: 14 days from order date for monthly and annual subscriptions (EU consumer right of withdrawal — Directive 2011/83/EU as transposed into the Italian Consumer Code D.Lgs. 206/2005). For "lifetime" licences, refund is guaranteed only if the software does not function as described.

The "lifetime" plan for paid modules is capped at 100 total seats for Pro, 30 for MAO. Once the cap is reached the lifetime plan is no longer available; existing licence holders retain it for life for the current major version of the product and minor updates within the same major release.

6. Limitation of liability

For AGPL-3.0 software (free), the warranty disclaimers and liability limitations of the AGPL-3.0 licence (clauses 15 and 16) apply: the software is provided "as-is" with no warranty.

For paid modules, our liability is limited to the amount actually paid by the user in the 12 months preceding the harmful event. Mandatory consumer rights under Italian and EU law (D.Lgs. 206/2005, GDPR) remain unaffected.

We are not liable for malfunctions caused by (a) changes to the user's operating system or runtime environment, (b) integrations with third-party services (Anthropic Claude, OpenAI, etc.) outside our control, (c) data loss caused by user network or hardware outages.

7. Termination

Paid subscriptions: you can cancel any time from the Lemon Squeezy customer portal or by writing to team@vibecodedtools.com. Cancellation takes effect at the end of the current billing period.

We may suspend or terminate access to paid modules in case of serious breach of these Terms or non-payment, with at least 7 days' prior notice (except for clear and serious breaches).

On termination, the clauses on liability limitation, intellectual property, and applicable law remain in force.

8. Changes to Terms

We reserve the right to modify these Terms. Material changes (refund policy, pricing structure, applicable law) will be notified via email to registered users with at least 30 days' prior notice. Continued use of the Site after notice constitutes acceptance; if you disagree you may terminate and obtain a pro-rata refund for the unused portion.

9. Governing law and jurisdiction

These Terms are governed by Italian law and, for EU consumers, by the mandatory rules of the user's country of residence (EC Reg. 593/2008 "Rome I").

For consumers, the competent jurisdiction is the consumer's place of residence or domicile (Art. 66-bis Italian Consumer Code). For business clients, the exclusive competent jurisdiction is the Court of Udine (Italy).
